The International Finance Corporation (“IFC”) has been mandated by Unitel S.A. (“Unitel” or “Company”)) to act as lead transaction advisor in its partial re-privatization through the sale of the shares held by one or more of Unitel’s shareholders on the Angola Securities and Debt Stock Exchange (“BODIVA”) and/or by any other suitable mechanism in compliance with all applicable laws and regulations of the Republic of Angola (the “Project”). IFC seeks to hire a legal consultancy firm (“Firm”) to support IFC with Corporate Law matters; including all the legal and regulatory aspects related to the Project such as (i) legal due diligence of the Company; (ii) review of ownership /nationalization process; (iii) review of applicable procurement and investment laws and recommendation on legal structuring options; (iv) under corporate governance: analysis of the rules applicable to senior management and staff. The firm will be expected to bring a legal firm that has experience in matters of Angolan Law as a partner for this assignment.
